(a) Includes 1-2 business days expedited
processing by the state, certified copy, and expedited processing on the
certified copy.
(b) All New York corporations are
required to file this document within 10 days of formation. Failure to
do so can lead to civil and criminal penalties.
(c) All New York LLCs are required to
have an operating agreement, even for single member (owner) LLCs. Our
fees are $97 for one member, $199 for two members, $249 for three
members, and $299 for four members. An operating agreement sets
forth the ownership of the business, its rules and regulations,
management powers, and
all the contingencies, such as transfer of ownership, additional
owners, investors, death of an owner, etc.
(d) Making a subchapter S election
avoids taxes at the corporate level, so earnings are taxed only once
at the personal level. Thus, income and losses are "passed-through" to
the shareholders, thereby resulting in considerable tax savings. Note:
No shareholder of an S Corp can be a non-resident alien.
(e) All New York LLCs are required to publish legal notices in two
designated newspapers, one weekly, and one daily, for six consecutive
weeks. Failure to do so within 120 days will lead to suspension of
your LLC. Prices vary according to the county in which your LLC is
located. Queens, Brooklyn, and Bronx cost $799. Manhattan is $1299.
Richmond (Staten Island) is $499. Nassau & Suffolk cost $599.
Westchester is $499. Other counties vary--call for exact quote. Fees
include everything: (1) Legal fee (2) Cost of
ads in two approved newspapers for six weeks each (3) Obtain
affidavits of publication (4) Submit Certificate of Publication and
fees to NYS.
(f) Corporate/LLC kits include: a leather-look binder, set of index
tabs, stock (or membership) certificates, stock transfer ledger sheets,,and various tax and business forms.
Corporate seals are no longer required in New York, and our kits do not
include them.
