REQUIREMENTS
1. Within
120 days of formation of a New York LLC, the LLC must publish a
notice in two (2) newspapers, once a week, for a period of six
(6) weeks, as follows:
(a) The
notice must include the name of the LLC, the date of filing, the
county in which the office is located, the full street address
of the LLC, the purpose of the LLC, and a statement regarding
service of process on the secretary of state.
(b) The
notice must be published "as though the copy or notice were a
notice or advertisement of judicial proceedings.”
(c) The
two (2) newspapers must consist of one (1) weekly paper and one
(1) daily paper of general circulation in the county where your
LLC was formed. The newspapers must be designated by the county
clerk for such publication.
Please note: If
you already completed your publication under the old law prior
to June 1 2006, this alert does not apply to you and you do not
need to take any further action.
PENALTIES FOR NON-COMPLIANCE
(a) The
penalty for failure to comply with the publication requirement
is suspension of the authority of the entity to carry on,
conduct or transact any business in New York State during the
period of non-compliance. The suspension will be automatic
and without notice. Suspensions can be “annulled” once an
entity complies with publication.
(b) The
suspension penalty will also apply to pre-existing entities
(i.e., those formed before June 1, 2006) who did not meet the
publication requirement under the law as it previously existed.
For pre-existing entities who have not met the publication
requirement, the cure period for compliance runs 12 months from
the effective date (through May 31, 2007).
HOW TO GET
INTO COMPLIANCE YOURSELF
Call a few newspapers in the county where your business was
formed and get their rates. Make sure these newspapers are
approved by the county clerk to handle such publication. Then
draft your legal notice in compliance with the law and have them
run once a week for six consecutive weeks in two newspapers--one
daily, and one weekly. Make sure to get an affidavit of
publication from each newspaper upon completion of the six weeks
and file it with the state.
